Limited company has the feature of being the only company which has an upper limit on the number of the partners under the Turkish law. According to the article 574 of the Turkish Commercial Code, the number of the partners in a limited company shall not exceed fifty. This provision is one of the few provisions was retained exactly in the new TCC as reserved in the Turkish Commercial Code No. 6762 and in the TCC No. 845. In this study, the function of this regulation, whether this limitation is suitable or not, the situation in comparative law by examining the legal regulations in these countries such as Switzerland, Germany, England, Belgium and France, the provisions which are applied in case of exceeding of fifty partners limit are opened to discussion.
